Terms of Service
These terms govern the relationship between Cartographix Ltd (trading as Timeship, "Timeship", "we") and clients who engage us for design and development services. By commissioning work from us you agree to these terms.
1. Services
Timeship designs and builds MCP servers, AI client interfaces, agent workflows, and evaluation loops. The scope of each engagement is agreed in writing before work begins.
2. Proposals and agreements
A written proposal or statement of work, once accepted by both parties, forms the basis of our agreement. Work does not begin until scope and fees are confirmed in writing.
3. Fees and payment
Fees are set out in each proposal. Unless otherwise agreed, we invoice 50% on project start and 50% on delivery. Invoices are due within 14 days of issue. Late payments accrue statutory interest under the Late Payment of Commercial Debts Act 1998.
4. Intellectual property
Upon receipt of full payment, all deliverables produced specifically for you transfer to you. We retain the right to use general methods, tools, and know-how developed during the engagement. We may reference the project in our portfolio unless you request otherwise in writing.
5. Client responsibilities
You are responsible for providing accurate briefs, timely feedback, and any third-party credentials or access required for the work. Delays caused by late client input may affect timelines and cost.
6. Warranties and liability
We will perform services with reasonable care and skill. We do not warrant that deliverables will be free of all defects or suitable for every purpose. Our total liability for any claim arising from an engagement is capped at the fees paid for that engagement. We are not liable for indirect or consequential losses.
7. Confidentiality
Both parties will keep confidential information shared during the engagement private and use it only for the purposes of the project.
8. Termination
Either party may terminate an engagement with 14 days' written notice. You will pay for all work completed up to the termination date.
9. Governing law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
